END-USER LICENSE AGREEMENT (EULA)

IMPORTANT: PLEASE READ THIS END-USER LICENSE AGREEMENT CAREFULLY BEFORE USING POSPOINTE SOFTWARE.

This End-User License Agreement ("EULA") is a legal agreement between you ("User") and ASN IT Inc. ("Company") for the use of the POSPOINTE software ("Software"). By installing, copying, or otherwise using the Software, User agrees to be bound by the terms of this EULA.

1. License Grant

Subject to compliance with the terms of this EULA, Company grants User a non-exclusive, non-transferable license to use the POSPOINTE Software for personal or internal business purposes, in accordance with the documentation provided by Company.

2. Restrictions

User shall not, and shall not permit others to:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the POSPOINTE Software.

• Modify, adapt, translate, or create derivative works based on the POSPOINTE Software.

• Remove, obscure, or alter any copyright, trademark, or proprietary rights notice on the POSPOINTE Software.

• Use the POSPOINTE Software for any illegal, unauthorized, or unethical purpose.

3. Ownership

The POSPOINTE Software and all related intellectual property rights are and will remain the exclusive property of ASN IT Inc. This EULA does not convey any ownership rights to User.

4. Updates and Support

Company may, at its sole discretion, provide updates, enhancements, or support for the POSPOINTE Software. Such updates may be subject to additional terms and conditions.

5. Warranty Disclaimer

The POSPOINTE Software is provided "as is" without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

6. Limitation of Liability

In no event shall ASN IT Inc. be liable for any damages, including without limitation, direct, indirect, incidental, special, consequential, or punitive damages, arising out of the use or inability to use the POSPOINTE Software.

7. Termination

This EULA is effective until terminated. User may terminate it at any time by destroying all copies of the POSPOINTE Software. Company may terminate this EULA if User fails to comply with any term herein. Upon termination, User must cease all use of the POSPOINTE Software.

8. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the Supreme Court exercises both civil and criminal Jurisdiction Any disputes arising under or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts located in the Supreme Court exercises both civil and criminal jurisdiction.
